General Terms and Conditions of Sale
and Service

In the event of any discrepancy between the English and French versions, the French version shall prevail. The original French version is available at aiden.swiss/cgv.
GENERAL PROVISIONS
1.1 Scope of application
These general terms and conditions of sale and service (hereinafter "GTC") govern the contractual relationship between Aiden Sàrl (hereinafter "Aiden" or "the Service Provider"), rue du Liseron 7, 1006 Lausanne, and its customers (hereinafter "the Customer") for all services offered by Aiden, including training, conferences, and coaching in the field of generative artificial intelligence.
1.2 Acceptance of the GTC Any order for services implies the Client's unconditional acceptance of these GTC, which shall prevail over any other document issued by the Client, in particular its general purchasing conditions.
1.3 Amendment of the GTC
Aiden reserves the right to amend these GTC at any time. The applicable GTC shall be those in force on the date of the Client's order.
2. OFFERS AND ORDERS
2.1 Validity of Offers
Offers issued by Aiden are valid for a period of thirty (30) days from their date of issue, unless explicitly stated otherwise in the offer.
2.2 Order Confirmation
An order is considered definitive only after written acceptance by Aiden and receipt of a quote confirmation or written confirmation from the Client.
3. ORGANIZATION OF SERVICES
3.1 Client Responsibilities
The Client undertakes to:
- Provide a room suitable for the number of participants, equipped with a projector, internet connection, and a flipchart;
- Ensure that participants have access to ChatGPT or another generative AI tool via their professional account;
- Provide at least one computer for every 2-3 persons;
- Provide Aiden with the list of participants no later than seven (7) days before the service commencement.
3.2 Aiden's Responsibilities
Aiden undertakes to:
- Deliver the services in accordance with the agreed description;
- Ensure the professional quality of its trainers and instructors;
- Adapt its content to the Client's specific needs wherever possible;
- Provide the agreed training materials.
4. FINANCIAL TERMS
4.1 Prices
Service prices are quoted in Swiss francs (CHF) and are exclusive of tax. As a training institute, Aiden is exempt from VAT.
4.2 Invoicing
Invoicing shall take place upon completion of the service, unless otherwise agreed in writing between the parties.
4.3 Payment terms
Invoices shall be payable within thirty (30) days of the date of issue. No discount shall be granted for early payment. Payments may be made by bank transfer to the details indicated on the invoice.
4.4 Late Payment
In the event of late payment, Aiden reserves the right to apply late payment interest calculated at an annual rate of 5%. Furthermore, a flat fee of CHF 40.- for collection costs will be due for each overdue invoice.
5. CANCELLATION AND POSTPONEMENT
5.1 Cancellation by the Client
Any cancellation must be notified to Aiden in writing. In case of cancellation by the Client:
- More than fourteen (14) calendar days before the scheduled service date: no compensation is due;
- Between fourteen (14) and seven (7) calendar days before the scheduled date: 50% of the service price is due;
- Less than seven (7) calendar days before the scheduled date: 100% of the service price is due.
5.2 Postponement by the Client
Requests for postponement must be submitted in writing (email or mail) to Aiden. Any postponement requested less than fourteen (14) calendar days before the scheduled date will be considered a cancellation and will be subject to the aforementioned cancellation terms.
5.3 Cancellation or Postponement by Aiden
Aiden reserves the right to cancel or postpone a service in cases of force majeure or exceptional circumstances. In such an event, Aiden undertakes to:
- Notify the Client without undue delay in writing (email or mail);
- Propose a new service delivery date or an alternative solution;
- Should a postponement or an alternative solution not be feasible, fully refund the amounts already paid by the Client.
6. PARTICIPANT CONDUCT
6.1 Code of Conduct
Participants in training courses and events organized by Aiden commit to adopting respectful behavior towards trainers and other participants, fostering an environment conducive to learning and exchange.
6.2 Management of Inappropriate Conduct
In the event of behaviour that significantly disrupts the proper conduct of the training or infringes upon the respect due to other participants or trainers, Aiden reserves the right to take appropriate measures, which may range from a warning to a request for the temporary or permanent removal of the participant concerned.
These measures will only be taken after dialogue with the individual concerned and, if necessary, with the Client's training manager. In the event of permanent exclusion due to severely inappropriate conduct, no refund will be granted.
7. INTELLECTUAL PROPERTY
7.1 Aiden's Rights
All content created and utilized by Aiden within the scope of its services (course materials, presentations, exercises, methodologies, etc.) is protected by intellectual property rights. Aiden retains full intellectual property rights over this content.
7.2 Rights granted to the Client
Aiden grants the Client a non-exclusive, non-transferable and strictly personal right to use the materials provided, solely for internal use within the Client's organisation. Any reproduction, adaptation, modification, distribution or commercial exploitation is strictly prohibited without the prior written authorisation of Aiden.
7.3 Trademarks and Distinctive Signs
The use of Aiden's trademarks, logos, and other distinctive signs is strictly prohibited without prior written authorization.
8. CONFIDENTIALITY AND DATA PROTECTION
8.1 Confidentiality
Aiden commits to respecting the confidentiality of all data and information provided by the Client within the scope of the engagement. Documents, information provided by the Client, and the results of the engagement are subject to a duty of discretion.
8.2 Personal Data Protection
Aiden collects and processes participants' personal data in accordance with its privacy policy and in compliance with applicable data protection legislation (LPD). For more information on how Aiden collects, uses, and shares personal data, the Client is invited to consult the privacy policy available on Aiden's website.
8.3 Consent
By accepting these General Terms and Conditions, the Client consents to Aiden collecting and processing the personal data necessary for the performance of the service. The Client guarantees to have obtained the consent of the participants whose data is communicated to Aiden.
8.4 Right of Access and Rectification
Any data subject has a right to access, rectify, erase, and object to their personal data. These rights can be exercised by contacting Aiden at the email address: contact@aiden.swiss.
9. CERTIFICATES AND ATTESTATIONS
9.1 Conditions for Issuance
Aiden issues certificates of attendance to participants who have completed the entire training course. No certificate will be issued in the event of any absence, even partial.
9.2 Issuance of Certificates
Certificates are generally issued to participants electronically within seven (7) business days after the completion of the service.
10. WARRANTY AND LIABILITY
10.1 Warranty
Aiden warrants that its services shall be performed in accordance with professional standards and best practices.
10.2 Limitation of Liability
Aiden's liability is strictly limited to compensation for direct damages proven by the Client to have occurred during the service provision. Aiden's liability is capped at the amount of fees received for the service concerned. Aiden is in no event liable for indirect or intangible damages such as loss of turnover, loss of profit, loss of operations, or loss of opportunity.
10.3 Insurance
The Client is responsible for subscribing to and maintaining in force the necessary insurance policies to cover risks related to their employees' participation in training courses. It is strongly recommended that this insurance specifically covers accidents that may occur during the training period.
Aiden holds professional civil liability insurance. Upon written request from the Client, Aiden can provide an insurance certificate.
11. COMPLAINTS AND DISPUTES
11.1 Complaint Procedure
Any complaint must be submitted in writing to Aiden at contact@aiden.swiss within thirty (30) calendar days following the completion of the service. The complaint must specify the nature and reasons for dissatisfaction, as well as the Client's expectations.
Aiden undertakes to acknowledge receipt of the complaint within three (3) business days and to provide a response within a maximum of fifteen (15) business days.
11.2 Mediation
In the event of persistent disagreement, the parties shall endeavor to resolve their dispute amicably before resorting to legal proceedings.
11.3 Complaints Regarding Trainers
Any complaint regarding a trainer must be submitted in writing to Aiden's management at contact@aiden.swiss. Aiden commits to handling these complaints with diligence and confidentiality, conducting an internal investigation, and taking appropriate measures if necessary.
- FORCE MAJEURE
12.1 Definition
A force majeure event is defined as any unforeseeable, irresistible, and external event beyond the parties' control that renders the performance of contractual obligations impossible, including, but not limited to: natural disasters, epidemics, pandemics, governmental restrictions, major social unrest, or significant disruptions to transportation or communication systems.
12.2 Consequences
In the event of force majeure, the parties' obligations shall be suspended for the duration of the event and shall resume once the impediment has ceased. Should the impediment persist for more than three (3) months, either party may terminate the contract without compensation, by simple written notification.
12.3 Alternative Measures
Should a force majeure event render an in-person service impossible, Aiden will endeavor, to the extent feasible and in agreement with the Client, to propose alternatives, such as remote training or a postponement of the service.
- ETHICAL AND RESPONSIBLE USE OF AI
13.1 Ethical Commitment
Aiden is committed to training participants in accordance with current best practices and ethical standards in artificial intelligence. The training courses include awareness of the ethical, legal, and privacy issues associated with the use of generative AI technologies.
13.2 Regulatory developments
Aiden strives to keep its training content updated regarding applicable AI regulations. However, given the rapid evolution of the regulatory framework, Aiden cannot guarantee the completeness or long-term validity of the information provided beyond the training date.
13.3 Responsibility for Use
The Client acknowledges that the use of generative AI tools within their organization remains their sole responsibility. Aiden cannot be held responsible for how the Client or their employees utilize the knowledge acquired during the training sessions.
14. FINAL PROVISIONS
14.1 Governing Law
These General Terms and Conditions (GTC) and the contractual relationship between Aiden and the Client are governed exclusively by Swiss law.
14.2 Jurisdiction
Any dispute concerning the formation, interpretation, execution, or termination of these GTC shall be subject to the exclusive jurisdiction of the courts of Lausanne, Canton of Vaud, Switzerland.
14.3 Partial Invalidity
Should any provision of these GTC be declared null or unenforceable pursuant to a law, regulation, or a final decision by a competent court, the remaining provisions shall retain their full force and effect.
14.4 EntiretyThese GTC, together with the documents to which they refer, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements and discussions, whether written or oral.
These general terms and conditions come into effect on January 1, 2026.
